Terms of Service

1. About these terms

These terms apply to work engaged through this website and to the services described on it.

Where a signed proposal, quote, or written agreement for a specific project conflicts with anything here, that document takes precedence for that project.

Engaging me for work means accepting these terms.

2. Services

Web and software development, and the SEO services described on this site.

The exact scope of any project is defined in the proposal agreed before work starts. Anything not in that scope is additional work, quoted separately.

3. Deposit and scheduling

A 50% deposit is required before work begins. A project is scheduled only once the deposit has been received.

The deposit is non-refundable once discovery, scoping, design, or development work has started, because time and capacity have already been committed to the project.

4. Payment terms

Invoices are due within 14 calendar days of the invoice date.

If an invoice is overdue, I may suspend work, support, maintenance, deployments, and access to staging or production environments until the balance is cleared. Suspension is not termination, work resumes once payment is received.

5. Cancelling a project

You can cancel at any time with written notice.

If you cancel after work has begun: all work completed up to the cancellation date is billable, the deposit is retained, any approved work completed beyond the deposit amount is due within the standard payment period, and all unfinished work, source files, and deliverables remain mine until paid in full.

6. Your responsibilities

Projects depend on timely feedback, content, and access. Extended delays in providing these may push the timeline and, where they hold a project open significantly, may require rescheduling.

7. Ownership and intellectual property

Custom design files, source code, database schemas, documentation, and other deliverables remain mine until full payment is received.

On full payment, ownership of the final approved deliverables transfers to you, together with a perpetual right to use them for your business.

I retain ownership of: pre-existing tools, frameworks, utilities, components, templates, and know-how used in the work; and open-source software included in a project, which stays under its own licence.

8. Showing the work

Unless you ask otherwise in writing, I may show completed work in my portfolio and in professional contexts, screenshots, your name or company name, and a description of what was built.

If a project is confidential, tell me before it starts and I will leave it out.

9. Maintenance and support

Each package includes a stated period of post-launch maintenance, listed on the Services and SEO pages. Once that period ends, continued updates, support, and maintenance are available through a monthly maintenance plan.

Included maintenance covers fixes and small adjustments to delivered work, it is not open-ended free development, and new features are quoted separately.

10. Warranties and limitations

I deliver work to a professional standard and fix defects in delivered work reported during the included maintenance period.

I cannot guarantee specific business outcomes such as search rankings, traffic, revenue, or conversions, because these depend on factors outside the code.

I am not liable for issues arising from third-party services, hosting providers, or changes you or another party make to delivered work after handover.

11. Governing law

These terms are governed by the laws of Rwanda.

If a dispute arises, both sides will first try to resolve it through good-faith discussion. If it is not resolved within 30 days, it goes to the competent courts of Kigali, Rwanda, unless both sides agree in writing to mediation or arbitration instead.

12. Changes to these terms

These terms may be updated. The current version is always the one on this page, with the date at the top.

Changes do not apply retroactively to a project already underway under a signed proposal.
